Third Party may not use the Licensed Materials (whether in connection with the Project or otherwise) for any machine learning, natural language processing or other artificial intelligence development purposes (collectively, “AI Development”) which (a) Third Party knows or intends will result in the creation of an automated device, program, algorithm, process, methodology, dictionaries, product and/or output that could be used to replace or substitute or is similar to the Licensed Materials in whole or in part (whether or not the foregoing are externally commercialized) or (b) enhances, upgrades, updates and/or otherwise modifies any device, program, algorithm, process, methodology, product, model and/or output of Third Party (whether or not the foregoing are externally commercialized).
